Terms and Conditions
When you purchase a virtual office online you will be contacted by a member of our virtual office team within the next working day to discuss your virtual office service, and any ID requirements.
1. EOG (UK) Ltd of 33 St James's Square, London SW1Y 4JS ("the Company") providing the services shall permit you, the User, as licensee to use the services specified in The First Schedule provided by the Company on the conditions set out in this Agreement.
2. The User shall pay to the Company an agreed licence fee plus VAT as outlined in your confirmation email for each month inclusive of the services specified in the First Schedule payable in advance and subsequent payments to be made on the first day of each month plus a one time setup fee of £100.
3. This Agreement shall commence on the agreed date as outlined in your confirmation email and shall continue for a minimum period of three or twelve months dependant on the chosen agreement term until it is terminated by giving three months' prior written notice.
4. By electing to purchase subscription-based services, the User warrants that all information submitted is true, valid and accurate including without limitation the User’s credit card number and expiry dates. Payment of the account balance and other applicable charges is due monthly and must be made by any valid credit card provided by the User either on initial sign-up or subsequently. Following your initial payment, the card details supplied will then be charged automatically on a monthly basis using our recurring payment system which is payment card industry compliant. The User must promptly notify the Company of changes to the account number and expiry date of the credit card/s, the billing address for the credit card, or cancellation, theft or loss of credit card/s; the Company takes no responsibility for contacting the User prior to charging the designated credit card number for services. The Company reserves the right to suspend or terminate Services without notice upon rejection of any card charges or if the User’s card issuer (or its agent or affiliate) seeks return of payments previously made to the Company.
5.The User shall pay the Company's charges (plus VAT) for the provision of the Additional Services specified in the Second Schedule. The Company shall use reasonable endeavours to provide the Inclusive and Additional Services. The Company reserves the right to take payment in advance for Additional Services and the User shall provide valid credit card details which will be used by the Company in relation to the advance payment of Additional Services as specified in Clause 4.
6. The User shall:
6.1 pay the licence fee specified in Clause 2 and the Company's charges referred to in Clause 5 at the times and in the manner provided;
6.2 not use the Building otherwise than as offices in connection with the User's business;
6.3 not damage any of the decorations or fixtures, fittings and equipment provided by the Company for use by the User;
6.4 not invite the public generally to come to the Premises, and not to use the Premises for any purpose which attracts casual callers;
6.5 not do or permit anything to be done in the Premises which may be a nuisance or annoyance or cause danger, injury or damage to the Company or other users of offices within the Building;
6.6 comply with such regulations as the Company may from time to time impose in relation to the use of the Premises, the management of the Building, and the provision of the Additional Services;
6.7 if the licence fee or the Company's charges referred to in Clause 5 are not paid on the due date, pay to the Company interest at a rate of 4% above Barclays Bank Plc base rate from time to time on the monies in arrears, calculated from the due date down to the date of payment;
6.8 keep the Company indemnified from and against all expenses, loss and claims arising from any breach on the User's obligations contained in this Agreement or from the use of the Premises by the User or arising from any act, neglect or default of the User.
7. The Company does not exclude or limit its liability to the User in respect of liability for death or personal injury to the extent that it results from the negligence of the Company or any of its employees, agents or sub- contractors;
8. Except as provided in Clause 7 neither the Company shall be liable to the User nor shall the User have any claim against the Company in tort, contract or otherwise for any loss, damage, injury or expense arising out of or in connection with the User's use of the Building or the provision of any services by the Company including (without prejudice to the generality of the foregoing) in respect of any loss of profit, production, anticipated savings, goodwill or business opportunities or any type of indirect, economic or consequential loss, even if that loss or damage was reasonably foreseeable or the Company was aware of the possibility of that loss or damage arising.
9. This Agreement may be determined by the Company on giving to the User not less than seven days' written notice if the User shall be in breach of any of the provisions contained in this Agreement.
10. This Agreement is personal to the User.
11. The User shall not during the term of this Agreement or for a period of 6 months after the expiration or sooner determination of the term of this Agreement employ (directly or indirectly) any person who has been in the employment of the Company at the Building during the term and if the User breaches the provisions of this clause the User shall pay to the Company on demand by way of liquidated damages an amount equal to 50% of the gross annual remuneration of such employee.
12. If the Inclusive Services includes Mail Handling the Company will only start to provide the Mail Handling Service once the User has provided all documents and identification required by the Company and the Company has confirmed that set-up is complete.
13. The User shall not use the address of the Building as the User's registered office unless this is included in the terms of their individual agreement in which case the User may use the address as its registered office for the duration of this Agreement but shall immediately cease to use the address as its registered office upon the Agreement's expiry.
First Schedule (Inclusive Services)
Mail Handling – If applicable
- Use of the building address at the chosen centre
Mail handling and forwarding* - a fee is payable in respect of all mail forwarding, details of which are available at the building
Telephone Answering – If applicable
- One assigned telephone number and personalised telephone answering service of a reasonable number of calls per day*
- Call forwarding (Telephone call charges are applicable, details of which are available on request)*The Company reserves the right to levy a charge where incoming call volumes are deemed excessive.
Registered Address – If applicable
- The right to use the chosen Building as the single company registered address. This confers no signage rights to the user.
Meeting Rooms – If applicable
- Subject to availability, two hours usage included per month of smallest conference room at home centre only. (Hours may not be carried forward to the following month).
Touchdown – If applicable
- Subject to availability, 20 hours access included per month, to designated touchdown area at home centre only during office hours. (Hours may not be carried forward to the following month).
Multiple Centre Executive Business Lounge – If applicable
- Access to five Executive Business Lounges across the Executive Offices Group during office hours.
